From my understanding, they flow better than the OBD1 mani's, and the welded portion I believe is to close off the air pump hole or some emissions portion that is not needed for the swap. Basically, it is supposed to be a good flowing header on a budget.

96-99 M3 headers are stainless, tubular style, 95 M3 had cast heavy headers, the 3.2 headers flow a little better and are lighter. But due to OBD2 they have 2 O2 sensors, you have to either weld or plug the bungs with old o2 sensors, etc'91 318is, S50 swap, Bilsteing/H&R race, Recaro SRD, etc.
